Terms of Engagement.
These Terms of Engagement (the “Terms”) govern advisory work performed by RG Standard Consulting LTD (“RG Standard Consulting”, “we”, “us”). They apply alongside any signed Statement of Work (“SOW”) or proposal accepted by the client. Where an SOW conflicts with these Terms, the SOW prevails.

1. Scope of services
RG Standard Consulting provides strategic advisory services in growth strategy, performance marketing, iGaming market expansion, and fractional commercial leadership. The specific scope, deliverables, timeline, and fee for each engagement are defined in the SOW. Anything outside the SOW is treated as a change request and quoted separately.
2. Fees and payment
Fees, payment schedule, and currency are set out in the SOW. Unless otherwise stated, invoices are payable within 14 days of issue. Late payments may accrue statutory interest under Cyprus law. Expenses (travel, third-party tools, paid media) are billed at cost and pre-approved by the client.
3. Client responsibilities
The client agrees to provide timely access to the people, data, accounts, and decisions required for the engagement to succeed. RG Standard Consulting relies on the accuracy of information supplied by the client and is not responsible for outcomes affected by incomplete or inaccurate inputs.
4. Confidentiality
Each party agrees to keep confidential all non-public information received from the other and to use it solely for the purposes of the engagement. Confidentiality obligations survive termination for three years. Either party may sign a separate NDA on request.
5. Intellectual property
Pre-existing materials, frameworks, and methodologies remain the property of the party that brought them to the engagement. Deliverables produced specifically for the client under an SOW transfer to the client on full payment, subject to RG Standard Consulting retaining the right to reuse generic know-how, methods, and learnings.
6. Independent contractor
RG Standard Consulting acts as an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship. RG Standard Consulting may engage qualified subcontractors, remaining responsible for their work.
7. Warranties and disclaimers
Advisory work is delivered with reasonable skill and care. RG Standard Consulting does not warrant any specific commercial outcome — markets, regulators, and operators behave independently of advice. No statement on this website or in any deliverable constitutes legal, tax, or financial advice.
8. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, consequential, or loss-of-profit damages. RG Standard Consulting’s total aggregate liability under any engagement is capped at the fees paid by the client for the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability for fraud, wilful misconduct, or any other liability that cannot be excluded by law.
9. Termination
Either party may terminate an engagement on 30 days’ written notice, or immediately for material breach not cured within 14 days of written notice. On termination, the client pays for work performed up to the termination date and any non-cancellable committed costs.
10. Data protection
Each party complies with applicable data protection law, including the GDPR. Personal data processed by RG Standard Consulting on behalf of the client is governed by a separate Data Processing Agreement where required. RG Standard Consulting’s handling of personal data submitted via the website is described in the Privacy Policy.
11. Governing law and jurisdiction
These Terms and any non-contractual obligations arising out of them are governed by the laws of the Republic of Cyprus. The courts of Limassol have exclusive jurisdiction, subject to either party’s right to seek interim relief in any competent forum.
12. Changes to these Terms
RG Standard Consulting may update these Terms from time to time. The current version is published at rgstandard.com/terms. Changes apply to engagements entered into after the “Last updated” date.
